General terms and booking conditions for BLACKSTAR

§ 1 Contract conclusion

A binding contract is only concluded by written order confirmation (including by email or fax) from Blackstar. Blackstar generally confirms the order immediately, however at the latest within seven days. A contract is also concluded if Blackstar fulfils customer requests/orders and actually renders services. § 2 applies accordingly in the event of changes or amendments to the original order.


§ 2 Blackstar services

Blackstar will provide the customer with a roadworthy, technically flawless vehicle, which complies with the regulations of the German Road Traffic Act (StVG), German Road Traffic Ordinance (StVO) and German Road Traffic Licensing Ordinance (StVZO). The vehicle is always in clean, freshly washed condition when starting a trip. Blackstar is entitled to provide the customer with a vehicle differing from the one rented, insofar as the alternative vehicle type is of the same or higher vehicle category (upgrade). All Blackstar vehicle services include chauffeur drivers provided by Blackstar. The chauffeurs employed by Blackstar hold a valid passenger transport licence according to the German Passenger Transport Act (PBefG) in conjunction with the Ordinance on the Implementation of German Passenger Transport Act. The vehicle is insured as follows in accordance with the relevant General Terms and Conditions for Motor Insurance (AKB): a flat 100 million Euros for property damage and financial loss; for personal injury, the insurance company is liable for up to 12 million Euros per injured person. Blackstar reserves the right to have orders implemented by another company or another entrepreneur.


§ 3 Payment conditions

The transportation fee (plus other agreed fees) is generally payable at the start of the transportation period. The transportation fee plus legal value-added tax must be paid in full for the agreed transportation period. Unless agreed otherwise, the transportation fee and all other agreed fees will be charged to the customer’s credit card. All conventional credit/EC cards (American Express, Master Card, Visa) are accepted. Business customers can pay by subsequent invoicing. In this case, the customer must inform Blackstar about an invoicing address prior to concluding the contract. The transportation fee shall then be paid immediately and in full upon receipt of the invoice. At the customer’s request, a full cash payment can also be made prior to the start of the transportation period. In this case, an invoice will be sent to the customer by mail upon request. If credit card details are passed on by third parties, cardholder authorisation for the anticipated invoice amount, a copy of the credit card, as well as a copy of the cardholder’s ID is required. This applies in particular if the credit card cannot be brought along in person for any reason.


§ 4 Cancellation conditions

Unless agreed otherwise, a one-off compensation for expenses totalling € 50.00 plus the legal value-added tax will become due, if the customer withdraws from the contract up to 12 hours prior to the start of the transportation period. In the event of a withdrawal between 12 and 1 hour prior to the start of the transportation period, a cancellation fee of 100% of the agreed transportation fee will be payable. 100% of the agreed transportation fee will be payable immediately in the event of a withdrawal or cancellation within 1 hour of the start of the transportation period, or if the customer does not appear at the agreed collection point. It is at Blackstar’s discretion to claim greater actual damages or additional expenses. It is at the customer’s discretion in turn free to prove that these actual expenses or damages were lower.


§ 5 Choice of law, place of jurisdiction, requirement of the written form, translation of the terms and conditions

The law of the Federal Republic of Germany with the exception of international private law applies to Blackstar’s contractual relationships. Blackstar’s place of registration is deemed the exclusive place of jurisdiction for all disputes arising from these contractual relationships, insofar as the customer is a merchant or legal entity under private or public law; in this case, Blackstar remains entitled to file action against the customer at the customer’s general place of jurisdiction. If the customer has no general place of jurisdiction in Germany or another EU member state, the exclusive place of jurisdiction for all disputes arising from these contractual relationships is Blackstar’s place of registration. Verbal commitments made by Blackstar, its representatives or other assistants require written confirmation from Blackstar in order to attain validity. These General Terms and Conditions have also been translated into English due to Blackstar’s international business relationships. In the event the English translation differs from the original German text, the version of the original German text shall apply exclusively. Should individual provisions of the contract with the customer, including these General Terms and Conditions, be or become partly or fully invalid, this shall not affect the validity of the remaining provisions. The fully or partly invalid provision shall be replaced by one whose economic purpose comes as close as possible to that of the invalid provision.
